[INSERT VAT NUMBER] Innovative Retail Concepts Pvt Ltd (‘bigbasket’) manages and operates the mobile application and website ‘bigbasket.com' (the ‘Platform’), and bbWallet (defined below) to facilitate the delivery of products listed on the Platform to its Customers (collectively includes the ‘Services’). These General Terms & Conditions (‘General T&Cs’), its subsets, and other policies (including but not limited to the Cancellation & Refund Policy and Privacy Policy) govern your use of bigbasket and the Platform. As a visitor of the Platform/Customer (‘you’), you are advised to read these General T&C’s carefully. By accessing the Services provided by the Platform, you agree to the terms provided in these General T&Cs.
bigbasket may at any time modify/amend these General T&Cs without any prior notification to you. You are advised to regularly review these General T&Cs for any updates or modifications. In the event the modified terms are not acceptable to you, you may discontinue using the Services. However, if you continue to use the Platform and Services, you shall be deemed to have agreed to accept and abide by the modified General T&Cs.

1. Personal Information
   As part of the registration process on the Platform, bigbasket may collect the following personally identifiable information about you: First and last name, email address and alternate email address, mobile number, contact details, postal code, demographic profile (like your age, gender, occupation, education, address etc.) and your browsing information on the Platform.
2. Eligibility
   Access to the Services would be available only to selected locations in India. People who are ‘incompetent to contract’ within the meaning of the Indian Contract Act, 1872 including undischarged insolvent etc. are not eligible to use the Platform. If you are a minor, i.e. under the age of 18 years but at least 13 years of age, you may use the Services (except bbWallet) only under the supervision of a parent or legal guardian who agrees to be bound by these General T&Cs. If your age is below 18 years, you are prohibited from purchasing any product which is for adult consumption and the sale of which to minors is prohibited.
3. Account & Registration Obligations
   3.1 shall have to register and log in to place orders on the Platform. By registering to the use of Platform, you shall also have access to the bbWallet issued by bigbasket, use of which shall be governed by bbWallet T&Cs as provided below.
   3.2 You need to ensure your account and registration details are correct and updated for communications related to your purchases from the Platform. You are permitted to have only one bigbasket account and are not permitted to create multiple accounts. bigbasket reserves the right to suspend such multiple accounts without being liable for any compensation. By agreeing to these General T&Cs, you agree to receive promotional communication and newsletters upon registration. You may opt out either by unsubscribing from the ‘My Account’ section or by contacting our customer care through details as provided hereunder.
4. Delivery Services
   4.1 Delivery Services on the Platform are enabled through Delivery Partner(s) (‘DP’). The DPs are engaged by bigbasket on a voluntary, non-exclusive, and on a principal-to-principal basis to enable fulfilment of your orders. The Services provided through the DPs may be subject to certain charges such as delivery, handling, convenience, surge, small cart, or other applicable charges based on factors like order value, time of day, demand, or item type. These charges may vary by location and will be displayed at checkout for your review. By placing an order, you agree to pay any such applicable charges.
   4.2 The Platform may also provide you with the option to voluntarily tip the DPs who undertake the delivery Services for orders you place on the Platform. Any such tip is entirely voluntary and may be provided at your sole discretion as a gesture of appreciation for the delivery Services rendered by the DP. Where you choose to provide a tip, the tip amount shall be collected by bigbasket through the Platform using the payment method(s) selected by you.
   4.3 You acknowledge and agree that the tip amount that may be paid by you shall be voluntary and directly for the benefit of the DP. bigbasket shall act solely as a facilitating agent for the limited purpose of collecting such tips on behalf of the DP and remitting the same to the concerned DP. The tip amount does not constitute consideration payable to bigbasket for the Services provided through the Platform and bigbasket does not retain any portion of the tip amount. Tips once paid are voluntary and non-refundable, except where the corresponding order is cancelled prior to completion of delivery or as otherwise determined by bigbasket at its sole discretion.
5. Pricing and Invoice
   5.1 Unless otherwise specified elsewhere, all the products listed on the Platform will be sold at MRP. Subject to clause 5.2, all the prices mentioned at the time of ordering will be the prices charged on the date or time of the delivery. Although prices of most of the products do not fluctuate on a daily basis, some of the commodities and fresh food prices do change on a daily basis.
   5.2 bigbasket follows a True Weight Policy (‘True Weight Policy’) with respect to fresh fruits and vegetables, to ensure fair, accurate and transparent pricing. These products are sold based on weight and are weighed at the time of order packing. The final amount payable by you shall be based on the actual weight delivered to you. Any variation between the ordered and delivered quantity will be adjusted in your bbWallet. If the delivered weight exceeds the ordered quantity, the additional amount will be debited from your bbWallet; if it is lower, the difference will be credited. Such adjustments are processed automatically. This policy does not apply to pre-packaged or fixed-quantity items.
   5.3 bigbasket shall issue invoices for the Services it provides to you (excluding tips paid by you to the DP), in accordance with the applicable laws in India.
6. Cancellation, Returns and Exchanges
   6.1 Cancellation by Platform/Customer
   You can cancel your order until the cancellation option is available in the ‘Order tracking’ and ‘My Orders’ pages. In such a case, bigbasket will refund any payment already made by you for the order. If bigbasket suspects any fraudulent transaction by any customer or any transaction that defies the terms & conditions of using the Platform, bigbasket, at its sole discretion, could cancel such orders. bigbasket will maintain a negative list of all fraudulent transactions and customers. bigbasket would deny access to them or cancel any orders placed by them.
   6.2 Return and Exchange
   6.2.1 For products purchased from and delivered by bigbasket a customer is permitted to raise return requests for the or request for exchanging the product for a replacement within its eligible return/exchange window, unless the product is identified as non-returnable and/or non-exchangeable on the Product Description Page.
   6.2.2 The Return & Exchange window of product(s) (if applicable) may vary and will be visible on the Product Description Page of that product. We encourage you to review the Product Description Page for the applicable return policy, before placing the Order.
   6.2.3 Please note that returns or exchange requests will be accepted and processed only if:
   - Product(s) are not damaged while in your possession
   - Product(s) are not different from what was delivered to you
   - Product(s) are kept intact with original tags, original packaging, and warranty cards (as the case maybe)
   - bigbasket has inspected the Product and is satisfied that the Product does not have any of the above mentioned issues/concerns
   6.2.4 Exclusions - Products marked non-returnable or non-exchangeable in the Product Description page. For such products, please contact the brand's service centre or manufacturer directly, as may be indicated on the Product Description Page and/or the product packaging
   - Products beyond the specified return or exchange period
   - Products sold by third party Sellers/Third Party Service Providers (defined below).
   6.2.5 In an unlikely event of damaged, defective, near expiry, or wrong product being delivered to you, contact us and help us understand and address your concerns.
   6.2.6 Refunds for returned products will be processed to the customer’s bbWallet by default, unless requested otherwise by the customer, in which case such refund will be processed to the source payment account. Any refunds related to Third Party Service Provider’s Products will be processed to the original source account as per the Seller’s policies. You are requested to refer to the specific terms and conditions as applicable to the Products sold by Third Party Service Providers on bigbasket.
   6.2.7 bigbasket is entitled to warn, suspend, block, or terminate accounts of customers found to be misusing this policy or taking advantage of instances, including, but not limited to.
   - Excessive returns or exchanges;
   - Frequent order cancellations;
   - Repeatedly rejecting delivery of confirmed orders; and/or

7. You Agree and Confirm
   7.1 That in the event a non-delivery occurs on account of a mistake by you (i.e. wrong name or address or any other wrong information), any extra cost incurred by bigbasket for redelivery shall be claimed from you.
   7.2 That you will use the services provided by the Platform, its affiliates, consultants, and contracted companies, for lawful purposes only and comply with all applicable laws and regulations while using and transacting on the Platform.
   7.3 You will provide authentic information in all instances where such information is requested of you. bigbasket reserves the right to confirm and validate the information and other details provided by you at any point in time. If, upon confirmation, your details are found false, bigbasket has the right in its sole discretion to reject the registration and debar you from using the Services.
   7.4 You authorise bigbasket to contact you through the communication details provided by you for any transactional purposes related to your order/account.
   7.5 That you are accessing the Services available on this Platform and transacting at your sole risk. You are using your best and prudent judgment before entering into any transaction through this Platform.
   7.6 That the address at which delivery of the product ordered by you is to be made will be correct and proper in all respects.
   7.7 That before placing an order, you will check the product description carefully. By placing an order for a product, you agree to be bound by the conditions of sale included in the product’s description.
   7.8 That transactions made through the Platform may be subject to additional charges such as delivery, handling, convenience, surge, small cart, or other applicable fees based on factors like order value, time of day, demand, or item type. These charges may vary by location and will be displayed at checkout for your review. By placing an order, you agree to pay any such applicable charges as part of the total order value.
8. You may not use the Platform for any of the following purposes
   8.1 Disseminating any unlawful, harassing, libellous, blasphemous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material.
   8.2 Transmitting material that encourages conduct that constitutes a criminal offence or results in civil liability or otherwise breaches any relevant laws, regulations or code of practice.
   8.3 Gaining unauthorised access to other computer systems.
   8.4 Interfering with any other person's use or enjoyment of the Platform.
   8.5 Breaching any applicable laws;
   8.6 Interfering with or disrupting networks connected to the Platform.
   8.7 Making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner.
9. Endorsement
   bigbasket does not endorse, promote or warrant any goods and/or services that might be or proposed to be bought/availed using the Platform and Services.
10. Your Obligations:
    10.1 You will not use another person’s username, password or other account information, or another person’s name, likeness, voice, image or photograph or impersonate any person or entity or misrepresent your identity or affiliation with any person or entity.
    10.2 You will not engage in any form of antisocial, disrupting, or destructive acts, including ‘flaming’, ‘spamming’, ‘flooding’, ‘trolling’, and ‘griefing’ as those terms are commonly understood and used on the Internet.
    10.3 You will not discriminate against any third-party service providers, DPs, other buyers, etc, based on race, religion, caste, national origin, disability, sexual orientation, sex, marital status, gender identity, age or any other metric which is deemed to be unlawful under applicable laws. Any credible proof of such discrimination, including any refusal to provide or receive goods or services based on the above metrics, whether alone or in conjunction with any other metric, whether lawful or unlawful, shall render you liable to lose access to the Platform immediately. You will not have any claim towards, and bigbasket will not have any liability towards any termination which is undertaken as a result of the aforementioned event. You are expected to respect the dignity and diversity of DPs and also enable the provision of a secure and fearless gig/ platform work environment for the DPs, including prevention and deterrence of harassment (including sexual harassment) towards DPs. bigbasket reserves the right to withhold your access to the Platform and otherwise limit your access to the Platform at our absolute discretion if you behave with a DPs in a manner that is discourteous, disrespectful, or abusive, or which otherwise may be deemed to be inappropriate or unlawful. You are expected to treat all DPs with courtesy and respect. The consequences of any such inappropriate action of yours, including claims made/compensation claimed by any DP, shall be to your account entirely.
    10.4 Goods and services purchased from the Platform are intended for your personal use and you represent that the same are not for resale or you are not acting as an agent for other parties. The Platform is intended to be a platform for end-consumers desirous of purchasing product(s)/availing services for domestic/ self-consumption. If you are a retailer, institution, wholesaler or any other business-to-business user, you are not eligible to use the Platform.
    10.5 The Platform and Services availability is subject to the maintenance of an active mobile number or internet connection with an associated telecom provider, and you are solely responsible for all liability arising from unavailability of the Platform due to a deficient mobile handset, or the internet service provider not being able to support operations of the Platform and Services.
    10.6 You shall be solely responsible for the confidentiality, safety and security of the Password. You shall be the sole owner of the Password and shall be responsible for the consequences arising out of the disclosure of the Password and/or the unauthorised use of the Platform and Services. In case the Password is lost or misplaced, you shall promptly inform bigbasket by calling the customer care number, after which the existing Password will be barred and a new Password will be issued to you after necessary validation. In case the mobile phone/SIM card/mobile number associated with your bigbasket account is lost/stolen/misplaced/no longer in your control, you shall promptly inform bigbasket. bigbasket will, upon receipt of such information, block the relevant account.
    10.7 As bigbasket is providing Services in the selected cities of India only, it has complied with applicable laws of India in making the Platform and its content available to you. In the event the Platform is accessed from outside India or outside our delivery zones, it shall be entirely at your risk.
    10.8 You acknowledge and understand that the Platform and Services are linked to your mobile number, and you shall be solely responsible for any liability arising out of the loss/theft/misuse of the mobile number or deactivation of mobile connection by the concerned telecom service provider.
    10.9 You shall not use any ‘deep-link’, ‘page-scrape’, ‘robot’, ‘spider’ or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform or any content, or in any way reproduce or circumvent the navigational structure or presentation of the Platform or any content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Platform. bigbasket reserves its right to prohibit any such activity.
    10.10 You shall not attempt to gain unauthorised access to any portion or feature of the Platform, or any other systems or networks connected to the Platform or to any server, computer, network, or to any of the services offered on or through the Platform, by hacking, ‘password mining’ or any other illegitimate means.
    10.11 You shall not make any negative, denigrating or defamatory statement(s) or comment(s) about us or the brand name or domain name used by us including the name ‘bigbasket’, or otherwise engage in any conduct or action that might tarnish the image or reputation, of bigbasket or Third Party Service Providers on this Platform or otherwise tarnish or dilute any bigbasket’s trade or service marks, trade name and/or goodwill associated with such trade or service marks, as may be owned or used by us. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Platform or bigbasket’s systems or networks, or any systems or networks connected to bigbasket.
    10.12 You acknowledge that the delivery time quoted at the time of confirming the order is an approximate estimate and may vary due to operational exigencies, and bigbasket will not be responsible for any delay in the delivery of an order.
    10.13 You acknowledge and agree that information submitted by you for availing the Services and/or information submitted while using the Services may be shared by bigbasket with any affiliate of bigbasket or any third party, inter alia, to facilitate the provision of Services, and hereby consent to the same.
11. Colours
    bigbasket has made every effort to display the colours of our products that appear on the Platform as accurately as possible. However, as the actual colours you see will depend on your screen, bigbasket cannot guarantee that your screen’s display of any colour will be accurate.
12. Governing Law and Jurisdiction
    12.1 These General T&Cs shall be construed in accordance with the applicable laws of India. The Courts at Bangalore shall have exclusive jurisdiction in any dispute arising out of these General T&Cs.
    12.2 Any dispute or difference either in interpretation or otherwise, of any terms of these General T&Cs between the parties hereto shall be referred to an independent arbitrator who will be appointed by bigbasket and his decision shall be final and binding on the parties hereto. The above arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. The arbitration shall be held in Bangalore. The High Court at Bangalore alone shall have the jurisdiction, and the Laws of India shall apply.
13. Reviews, Feedback, Submissions
    13.1 All reviews, comments, feedback, postcards, suggestions, ideas, and other submissions, if disclosed, submitted or offered on or to this Platform or otherwise disclosed, submitted or offered in connection with your use of the Services (collectively, the “Comments”) shall be, and remain, the property of bigbasket. Such disclosure, submission or offer of any Comments shall constitute an assignment to bigbasket of all worldwide rights, titles and interests in all copyrights and other intellectual properties in the Comments. Thus, bigbasket owns exclusively all such rights, titles and interests and shall not be limited in any way in its use, commercial or otherwise, of any Comments. bigbasket is and shall be under no obligation:
    - to maintain any Comments in confidence;
    - to pay you any compensation for any Comments; or
    - to respond to any Comments.
    13.2 You agree that any Comments submitted by you to the Platform will not violate these General T&Cs or any right of any third party, including copyright, trademark, privacy or other personal or proprietary right(s), and will not cause injury to any person or entity. You further agree that no Comments submitted by you to the Platform will be or contain libellous or otherwise unlawful, threatening, abusive or obscene material, or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any form of ‘spam’. Please note that all reviews submitted by you are subject to checks and moderation by bigbasket.
    13.3 bigbasket reserves the right to publish, moderate, solicit or withhold reviews or comments and ratings with no liability. You grant bigbasket the right to use the name that you submit in connection with any Comments. You agree not to use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any Comments you submit. You are and shall remain solely responsible for the content of any Comments you make, and you agree to indemnify bigbasket and its affiliates for all claims resulting from any Comments you submit. bigbasket and its affiliates take no responsibility and assume no liability for any Comments submitted by you or any third party.
14. Intellectual Property Rights and Limited License to Access
    14.1 bigbasket, its suppliers and licensors expressly reserve all intellectual property rights in all text, programs, products, processes, technology, content and other materials that appear on and are embedded in the Platform. All software used on the Platform is the property of bigbasket or its licensees and suppliers and protected by Indian and international copyright laws. The content and software of the Platform may be used only as a shopping resource.
    14.2 bigbasket grants you a limited license to access and make personal use of the Platform and not to download (other than page caching), reproduce, duplicate, copy or modify it, or any portion of it, except with the express written consent of bigbasket. This license does not include any resale or commercial use of the Platform, its content or any third party content hosted on it; any collection and use of any product listings, descriptions, or prices; any derivative use of the Platform or its content; any downloading or copying of account information for commercial gains or benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.
    14.3 You may not frame or utilise framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of the Platform or of bigbasket and its affiliates without express written consent.
    14.4 You may not use any meta tags or any other ‘hidden text’ utilising the Platform’s or bigbasket’s name or trademarks without the express written consent of bigbasket.
    14.5 References on this Platform to any names, marks, products or services of third parties or hypertext links to third party sites or information provided solely as a convenience to you and do not in any way constitute or imply bigbasket’s endorsement, sponsorship or recommendation of the third party, information, product or service. bigbasket is not responsible for the content of any third party sites and does not make any representations regarding the content or accuracy of material on such sites. If you decide to link to any such third-party websites, you do so entirely at your own risk.
    14.6 Any unauthorised use shall terminate the permission or license granted herein by bigbasket.
15. Objectionable Material
    You understand that by using the Platform or any Services provided on the Platform, you may encounter content that may be deemed by some to be offensive, indecent, or objectionable, which content may or may not be identified as such. You agree to use the Platform and any service at your sole risk and that, to the fullest extent permitted under applicable law, bigbasket and its affiliates shall have no liability to you for content that may be deemed offensive, indecent, or objectionable to you.
16. Disclaimer: No Warranties
    16.1 bigbasket provides no warranty, express or implied, with respect to the Platform and Services. To the fullest extent permissible, pursuant to applicable law, bigbasket and its third-party partners, licensors, and suppliers disclaim all warranties or guarantees - whether statutory, express or implied - including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. Services provided by bigbasket through the Platform are on an ‘as is’, ‘where is’, ‘with all faults’ basis.
    16.2 No advice or information, whether oral or written, obtained by you from bigbasket or the use of Services will create any warranty or guarantee other than those expressly stated herein. For this Disclaimer, you expressly acknowledge that as used in this section, the term ‘bigbasket’ includes bigbasket’s officers, directors, employees, shareholders, agents, licensors, subcontractors and affiliates. You expressly agree that use of Services on the Platform is at your sole risk. It is your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the Platform or on the internet generally.
    16.3 bigbasket and its third-party suppliers, licensors, and partners do not warrant or make any representations regarding the use or the results of the use of the Services and the Platform or any reference sites/platforms/apps/services in terms of correctness, accuracy, reliability, or otherwise. You understand and agree that you use, access, download, or otherwise obtain information, materials, or data through the Services and the Platform or any reference sites/platforms/apps/services at your discretion and risk and that you will be solely responsible for any damage to your property (including your computer system and mobile device or any other equipment) or loss of data that results from the download or use of such material or data. bigbasket does not authorise anyone to make any warranty on its behalf, and you should not rely on any such statement.
    16.4 bigbasket does not make any representation or warranty as to the item-specifics (such as legal title, creditworthiness, identity, etc.) of any of the third parties. You are advised to independently verify the bona fides of any particular third party that you choose to deal with on the Platform and use your best judgement on that behalf. All third party offers are subject to respective party terms and conditions. bigbasket accepts no liability for any errors or omissions, whether on behalf of itself or third parties.
    16.5 While bigbasket takes every effort to ensure that the product/services are delivered to you within the estimated delivery time as reflected on the Platform at the time of placing the order, bigbasket does not make any representation and warranty with respect to the delivery time. The delivery time is only an estimated time, which may change without notice due to delays that are beyond reasonable control of bigbasket.
    16.6 bigbasket is not responsible for any unsatisfactory or non-performance of services or breach of any contract entered into between you and any Third Party Service Providers listed on the Platform. Bigbasket cannot and does not guarantee that the concerned Third Party Service Providers will perform or honour any transaction concluded on the Platform. bigbasket is not responsible for unsatisfactory or non-performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered. For the purpose of this clause ‘Third Party Service Providers’ shall mean the F&B Service Provider, Pharma Service Provider and such other third-party service providers/sellers that are listed on the Platform as ‘Sellers’ other than bigbasket.
    16.7 This section shall survive the termination of the General T&Cs. In no event will bigbasket be liable for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the bigbasket Platform.
17. Indemnity
    You agree to defend, indemnify and hold harmless bigbasket, its employees, directors, officers, agents and their successors and assigns from and against any claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to bigbasket or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfilment of any of your obligations under these General T&Cs or arising out of your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights. This clause shall survive the expiry or termination of these General T&Cs.
18. Confidentiality
    You specifically agree that to facilitate access to the Platform, bigbasket may be required to disclose any information or particulars pertaining to you to any authority, statutory or otherwise or any third party.
19. Assignment: Restrictions on Information Sharing; Privacy
    19.1 These General T&Cs, and any rights granted hereunder, may not be transferred or assigned by you without bigbasket’s prior written consent, which may be withheld in bigbasket's sole discretion, but these General T&Cs, and any rights granted hereunder, may be assigned by bigbasket freely (including to its affiliates) and without any restriction. Any assignment attempted to be made by you in violation of this provision shall be void and of no effect.
    19.2 bigbasket, amongst others, shares information with companies (including with its affiliates) who provide services such as information processing, extending credit, fulfilling customer orders, delivering products to you, managing and enhancing customer data, providing customer service, assessing your interest in bigbasket’s products and services offering any products or services from the Platform, and conducting customer research or satisfaction surveys. Any such sharing will comply with applicable laws, and these companies are obligated to protect your personal information under applicable law.
    19.3 You represent that you have read, understood and agreed to bigbasket’s Privacy Policy. It may be necessary − by law, legal process, litigation, and/or requests from public and governmental authorities − for bigbasket to disclose your personal information. bigbasket may also disclose information about you if bigbasket determines that for purposes of national security, law enforcement, or other issues of public importance, disclosure is necessary or appropriate.
    19.4 bigbasket may also disclose information about you if bigbasket determines that disclosure is reasonably necessary to enforce these General T&Cs or protect bigbasket’s operations or users. Additionally, in the event of a reorganisation, transfer, merger, or sale of all or any portion of bigbasket’s business or products or services offered through the Platform to any person (including any affiliates), bigbasket may transfer any and all personal information that bigbasket collects to the relevant transferee or enter into contractual agreements to share such information with such transferees, and transfer any contractual rights or benefits to such transferees.
    19.5 bigbasket’s privacy policy applies to the use of the Platform, and its terms are made a part of these General T&Cs by this reference. Additionally, by using the Platform, you acknowledge and agree that internet transmissions are never completely private or secure. You understand that any message or information you send to the Platform may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, credit card information) is encrypted.
20. Waiver and Release
    The failure of bigbasket to exercise or enforce any right or provision of these General T&Cs will not constitute a waiver of such right or provision. Any waiver of any provision of these General T&Cs will be effective only if in writing and signed by bigbasket. To the maximum extent permitted by law, you waive, release, discharge and hold harmless bigbasket, its affiliates, and each of their directors, officers, employees, and agents, from any and all claims, losses, damages, liabilities, expenses and causes of action arising out of your use of the Platform or bbWallet.
21. Limitation of Liability
    In no event, bigbasket or its contractors, agents, licensors, partners or suppliers will be liable to you for any special, indirect, incidental, consequential, punitive, reliance, or exemplary damages (including without limitation lost business opportunities, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage of any nature whatsoever) arising out of or relating to: (i) these General T&Cs; (ii) the bbWallet, the Platform or any reference site/app/platform/service; or (iii) your use or inability to use the bbWallet, the bigbasket Platform (including any and all materials) or any reference sites/app/platform/service or (iv) any other interactions with bigbasket, however caused and whether arising in contract, tort including negligence, warranty or otherwise, even if bigbasket or a bigbasket authorised representative has been advised of the possibility of such damages. You acknowledge and agree that bigbasket has offered its products and services, set its prices, and entered into these General T&Cs in reliance upon the warranty disclaimers and the limitations of liability set forth herein, that the warranty disclaimers and the limitations of liability set forth herein reflect a reasonable and fair allocation of risk between you and bigbasket, and that the warranty disclaimers and the limitations of liability set forth herein form an essential basis of the bargain between you and bigbasket. bigbasket would not be able to provide the services to you on an economically reasonable basis without these limitations. Applicable law may not completely allow the limitation or exclusion of liability or incidental or consequential damages, so the above limitations or exclusions will apply to you subject to applicable law. In such cases, bigbasket’s liability will be limited to the fullest extent permitted by applicable law. This section of the bbWallet Terms shall survive the termination of these General T&Cs.
22. Severability
    If any provision of these General T&Cs or as a whole is held to be unlawful, void, invalid or otherwise unenforceable, then that provision will be limited or eliminated from the General T&Cs to the minimum extent required, and the remaining provisions will remain valid and enforceable.

24. Termination
    These General T&Cs are effective unless and until terminated by either you or bigbasket. You may terminate these General T&Cs at any time, provided that you discontinue any further use of the Platform. bigbasket may terminate these General T&Cs at any time and may do so immediately without notice, and accordingly deny your access to the Services. Such termination will be without any liability to bigbasket. Upon any termination of the General T&Cs by either you or bigbasket, you must promptly destroy all materials downloaded or otherwise obtained from this Platform, as well as all copies of such materials, whether made under the General T&Cs or otherwise. bigbasket's right to any Comments shall survive any termination of these General T&Cs. Any such termination of the General T&Cs shall not cancel your obligation to pay for the product already ordered from the Platform or affect any liability that may have arisen under the General T&Cs.

II. TERMS AND CONDITIONS FOR FOOD AND BEVERAGE SERVICES

1. Food and Beverage Services
   1.1 The Platform shall allow users to order, based on availability, food and beverage products, which shall include and not be limited to, prepared items, and/or pre-packaged or customized food and beverage products as listed on the Platform (‘F&B Products’) by the third-party food and beverage service provider(s), which shall include cloud kitchen operators, restaurant owners or such other third party entities that deal in F&B Products (‘F&B Service Providers’). IRCPL shall deliver the F&B Products to you on an as-is basis in the same form and packaging as handed to it by the F&B Service Provider and does not make any representation or warranties, implicitly or explicitly, in respect of the F&B Products available on the Platform. IRCPL accepts no liability for any error, inaccuracy or omission of F&B Service Providers or for information/inputs received from F&B Service Providers and provided to you through the Platform or otherwise.
   1.2 You acknowledge and agree that IRCPL shall not, at any time, have any ownership and/or title to any F&B Product(s), which is subject to a bipartite sale and purchase contract between you and the F&B Service Provider. The prices of the F&B Products offered by the F&B Service Provider on the Platform are determined by the F&B Service Provider alone. IRCPL hereby disclaims all liability in respect of F&B Products, including but not limited to the pricing quality, merchantability, ingredient, packaging and/or the labelling of the F&B Products provided by the F&B Service Providers.
2. Advertising of F&B Products
   The Platform may contain displays of certain advertising information or promotional material or other material, including but not limited to banners, sampling schemes, contests, freebies, banners etc., submitted to IRCPL by F&B Service Providers for inclusion on the Platform (‘Advertising Material’). Responsibility for ensuring that Advertising Material submitted is in compliance with applicable international and national law will rest exclusively with the F&B Service Providers. IRCPL shall not be liable to any third party for any alleged intellectual property rights with respect to the Advertising Material.
3. Invoice for F&B Products
   3.1 In respect of the order(s) placed by you for F&B Products, IRCPL shall issue documents like order summary, tax invoices, etc. as mandated under applicable laws. Invoice(s) shall be issued based on the order, as stated below.
   3.1.1 Supply of pre-packaged F&B Products- Tax invoice will be issued by F&B Service Provider, which may also include any delivery charges, applicable packaging charges or such other charges, if levied, by the F&B Service Provider.
   3.1.2 Supply of F&B Products prepared by F&B Service Provider– Tax invoice will be issued by IRCPL on behalf of the F&B Service Provider in accordance with Section 9 (5) of CGST Act, 2017, which may also include any delivery charges or such other charges, if levied, by the F&B Service Provider.
   3.1.3 Delivery charges or platform fees or any other levied charges for F&B products will be invoiced separately by IRCPL. Packaging fees will be included in the F&B Service Provider’s invoice.
   13.2 The invoices issued by IRCPL in relation to an order containing F&B Products will be visible on the order summary page once the goods have been delivered to you. IRCPL shall not be responsible for any invoices issued by any third-party F&B Service Provider. You may directly reach out to the respective F&B Service Provider for the invoices issued by it. You hereby acknowledge that F&B Products are being provided to you on the Platform for your own consumption and not for any onward sale.
4. Cancellation/Return and Refund of F&B Products
   4.1 F&B products are non-returnable. For any issues or complaints, please contact our Customer Support directly.
   4.2 You can cancel your order for F&B Products until the cancellation option is available in the order details page. Refunds for such cancelled F&B Products will be credited to the original source of payment, and not the bbWallet, as these are fulfilled via the marketplace model
   The above mentioned policies may vary depending on the product and the F&B Service Provider.

III. BBWALLET TERMS AND CONDITIONS

The bbWallet Services is provided by bigbasket as a Closed System Prepaid Instrument (hereinafter ‘bbWallet’) and is compliant with the Payment and Settlement Systems Act, 2007 and the Master Directions on Prepaid Payment Instruments, 2017, along with such other applicable RBI rules, guidelines, norms, circulars and directions. You may load your bbWallet when using the Services through different sources, as prescribed in these bbWallet Terms and Conditions (‘bbWallet T&Cs’) below. The amount in the bbWallet shall only be used for making payments towards transactions done by you on the Platform. You acknowledge and understand that the issuance of bbWallet shall be the sole prerogative of bigbasket, and nothing contained in these bbWallet T&Cs should be construed as an obligation on bigbasket to issue bbWallet(s) to any person. ‘bbWallet’ is issued upon collection of minimum customer details, including customer’s name, e-mail address, mobile number, which permit payment for the purchase of eligible goods from bigbasket.

1. Sources of Funds in bbWallet
   1.1 Direct top-up/recharge: You may add money or recharge your bbWallet through online payment methods such as domestic credit/debit card/UPI and/or net banking from your account or such other methods as permitted by bigbasket at its sole discretion, from time to time.
   1.2 Refunds: In case of any refunds initiated by you for returns, in line with the Cancellation/Return and Refund Policy (incorporated by reference herein) of bigbasket, the amount shall be primarily refunded to your bbWallet (except purchases from third party service providers like Electronics, Pharma, Fresh foods etc. will be credited to the source of payment, and not the bbWallet, as these are fulfilled via the marketplace model). You may request that the amount be transferred to your source account by reaching us through our customer care using the details mentioned in the General T&Cs. In the event that you make a purchase while your wallet reflects a negative balance, and the said order is subsequently returned for any reason, the refund will include the negative balance amount only up to a maximum of Rs. 25. Any refund of negative balances beyond Rs. 25 shall be subject to internal review and may be withheld in cases suspected of misuse or fraud.
   1.3 Order Variation: Your bbWallet may also be credited or debited on account of any variation in the price of any products ordered by you, in line with our True Weight Policy. You will receive a mail/SMS notification under the name of ‘order modification’ in cases of such variations in the weight and the change in their corresponding price. The difference amount shall reflect as a credit or debit balance in your bbWallet after such an order being delivered to you.
   1.4 E-Gift Cards: A Gift Card received through an e-mail or shared via link, will contain an alphanumeric code. In order to redeem the Gift Card value, you would be required to copy the code > enter the code in your bbWallet by clicking/tapping on ‘Redeem now’ on ‘Recharge Wallet’ page/screen. Upon clicking/tapping on ‘Redeem’, the Gift Card equivalent value shall get added to your bbWallet. You can then use the Gift Card value to make purchases on bigbasket. Amount loaded in your bbWallet using an E-Gift Card cannot be redeemed for cash, and no bank account transfers shall be made for the same. You can use the E-Gift Card value, added to your bbWallet, to make purchases on bigbasket, except for the restrictions provided for in clause 3 below.
   You may note that withdrawing money from bbWallet is not allowed, and any transfer to the source account is subject to the terms contained herein and at the sole discretion of bigbasket. Any outstanding credit in the bbWallet must be utilised only to make payments for bona fide transactions. You must ensure the availability of sufficient funds in your bbWallet before executing any transaction from your bbWallet.
2. Maximum Limit
   2.1 You can load a maximum of Rs. 10,000 (Rupees Ten Thousand Only) into your bbWallet through direct actions such as UPI, credit/debit cards, or net banking. This limit is specifically applicable to customer-initiated top-ups only. Exceptions: This Rs. 10,000 (Rupees Ten Thousand Only) limit does not apply to funds added due to refunds, promotional credits, or adjustments initiated by the Platform. In such cases, the bbWallet balance may exceed Rs. 10,000. Your bbWallet can hold up to a maximum of ? 40,000 (Rupees Forty Thousand Only) at any given time.
   2.2 Please note that purchases made from Third Party Service Providers listed on the platform are not eligible for payment via bbWallet. bbWallet can only be used for purchasing products sold by bigbasket. Any refunds, wallet credits, or promotions related to third-party seller orders will be processed as per the seller’s policies and are not governed by the bbWallet system. Please refer to the product details to know more.
3. bbWallet Restrictions
   Use of bbWallet shall not be available for the purchases of the following products or categories of products on bigbasket:
   - Purchase of Gold or Silver Coins.
   - Purchases made from Third Party Service Providers listed on the platform.
   - Purchase of cigarettes, cigars, cheroots, beedis, cigarette tobacco, pipe tobacco and hookah tobacco, chewing tobacco, snuff, pan masala or any chewing material having tobacco as one of its ingredients (by whatever name called), gutka and/or tooth powder containing tobacco.
   - Purchase of infant food, infant milk substitute, and/or feeding bottles.
   - Such other products or categories, as may be determined by bigbasket at its sole discretion.
4. Expiry or Forfeiture
   The balance in your bbWallet shall be valid for a period of 1 (one) year from the date of it being added to the bbWallet. Prior to the expiry of the 1 (one) year period, you may either utilise the eligible amount for any transactions or request that such amount be transferred to your source account by contacting us through our customer care details as mentioned in General T&Cs. It is clarified that any amount related to promotional cash backs or credits on account guarantee lying in the wallet shall not be refunded, and these credits/cashbacks must be used before expiry.
5. Suspension
   You are obligated to use the bbWallet only as per the provisions of these bbWallet T&Cs and norms prescribed by bigbasket from time to time. bigbasket reserves the right to suspend/discontinue bbWallet services for you at any time, for any cause, including, but not limited to the following:
   - For any suspected violation of the bbWallet T&Cs.
   - For any suspected discrepancy in the particular(s), or documentation (if any) provided by you.
   - To combat potential fraud, sabotage, willful destruction, threat to national security or any other force majeure event.
   - If the same is due to technical failure, modification, upgrade, variation, relocation, repair, and/or maintenance due to any emergency or for any technical reasons.
   - If the same is due to any transmission deficiencies caused by topographical and geographical constraints/limitations.
   - If the mobile connection with which your bbWallet is related ceases to be operational or in your possession or control.
   - If bigbasket believes, in its reasonable opinion, that cessation/suspension is necessary for any other legitimate purpose.
6. Cessation or Closure of Store Operation
   In the event of cessation or suspension of operations of the Platform or bigbasket, at its sole discretion, in a given geographical area, such bbWallets registered and used by you in that area shall cease to operate/be suspended by bigbasket. A notice of such cessation or suspension shall be provided to you in the given geographical area. Upon receiving such a notice, you can either utilise your bbWallet balance against any purchases that you would intend to make before the cessation or suspension of operations or can request bigbasket to close your bbWallet(s) and transfer the outstanding amount of any bbWallet top-ups made by you to your bank account or to the payment source from where the amount was loaded.
7. Fees and Charges
   bigbasket reserves its right, in its sole discretion and without any prior notice, to impose and/or revise charges/commissions in relation to the use of your bbWallet.
8. Lien and Set-Off
   8.1 bigbasket reserves the right to hold or adjust the balance in your bbWallet to recover any dues that may arise on your account, now or in the future. This helps ensure smooth resolution of any discrepancies or pending amounts.
   8.2 In certain cases, such as during audits, reviews, or internal checks, if bigbasket finds that a transaction in your bbWallet was incorrect or didn’t comply with applicable rules, bigbasket may reverse or adjust that transaction accordingly.
   8.3 If there are any costs or losses that bigbasket reasonably incurs due to such issues, bigbasket may use the bbWallet balance to recover them. If the balance is insufficient, bigbasket may reach out to you for the difference amount.
9. Additional T&C
   9.1 Any amount transferred mistakenly by you, while adding money to or recharging the bbWallet or while executing a transaction on the bigbasket Platform, shall not be refunded to you by bigbasket in any circumstances.
   9.2 Any website link on the Platform which takes you to a third-party site is not an endorsement by bigbasket. By using or browsing any such other website link, you shall be subject to the terms and conditions in relation to that website or company.
   9.3 In the event of any dispute, bigbasket records shall be binding as the conclusive evidence of the transactions carried out through the use of bbWallet.
   9.4 bigbasket shall send all customer communications by SMS and/or e-mail, and such SMS shall be deemed to have been received by you after they have been submitted for delivery to the mobile phone operator.
   9.5 You agree to receive all commercial messages, including transactional messages from bigbasket.

IV. Free Cash Terms & Conditions

These Free Cash Terms and Conditions (‘Free Cash T&Cs’) govern the issuance and use of free wallet credits referred to as ‘Free Cash’ by bigbasket, at its sole discretion, to eligible Customers. bigbasket reserves the right, at any time, without prior notice and without assigning any reason whatsoever, to add/alter/modify/change or vary all of these ‘Free Cash T&Cs’ and eligibility hereof.

1. Eligibility
   1.1 Free Cash may be credited to customers, selected at the sole discretion of bigbasket and who have received communication about ‘Free Cash’ from bigbasket during the Validity Period (defined below).
   1.2 To access and redeem ‘Free Cash’, you must visit the bigbasket mobile application and create an account with bigbasket or already hold a valid, registered bigbasket account, and must log in through such account on the bigbasket mobile application.
2. Nature of Free Cash
   2.1 ‘Free Cash’ is a promotional wallet credit which may be provided by bigbasket, to your bbWallet, at its sole and absolute discretion.
   2.2 ‘Free Cash’ does not constitute money, legal tender, or stored value, and cannot be transferred, assigned, encashed, or redeemed outside the bigbasket mobile application.
   2.3 ‘Free Cash’ has no intrinsic value and shall not, under any circumstances, be considered as a deposit, advance, or payment obligation of bigbasket.
   2.4 Any ‘Free Cash’ credited to your bbWallet cannot be redeemed for cash, and no bank account transfers shall be made for the same.
3. Redemption
   3.1 You shall be eligible to redeem ‘Free Cash’ towards payment of the entire order value placed on bigbasket mobile application, including but not limited to the product price, applicable delivery charges, handling charges, packaging charges, or such other charges, as may be applicable, and applicable taxes (including GST).
   3.2 ‘Free Cash’ can be clubbed with other additional offers as may be available on the bigbasket mobile application.
   3.3 No minimum transaction value is required for redemption of ‘Free Cash’.
   3.4 ‘Free Cash’ can be redeemed for selected products and SKUs only, which shall be determined by bigbasket at its sole and absolute discretion.
   3.5 Where multiple ‘Free Cash’ credits are available, redemption shall take place on a First-In-First-Out (FIFO) basis, i.e., ‘Free Cash’ credited earlier shall be utilised first.
   3.6 Redemption of ‘Free Cash’ is possible only when you are logged into your bigbasket account with your registered mobile number on which the ‘Free Cash’ communication was received by you.
   3.7 To apply and redeem ‘Free Cash’ to your cart on the bigbasket mobile application, you must enable bbWallet toggle at the time of checkout.
4. Validity and Expiry
   4.1 Each ‘Free Cash’ credit will carry a validity period as determined by bigbasket at its sole discretion (‘Validity Period’).
   4.2 The Validity Period shall be communicated to a Customer at the time of credit.
   4.3 ‘Free Cash’ that is not redeemed within the applicable Validity Period shall automatically expire and shall not be reinstated or extended under any circumstances.
5. Refunds and Cancellations
   5.1 In the event of a complete order cancellation or return:
   - ‘Free Cash’ portion of the refund shall be credited back to your bbWallet only if such refund is processed within the Validity Period of the relevant ‘Free Cash’.
   - If the Validity Period has expired by the time of refund, the ‘Free Cash’ shall lapse automatically without any liability on bigbasket.
6. Validity and Expiry
   6.1 bigbasket reserves the right to withdraw, vary, suspend, or terminate the ‘Free Cash’ program, including these ‘Free Cash T&Cs’, at any time without prior notice and without incurring any liability.
   6.2 Misuse, fraudulent use, or breach of these ‘Free Cash T&Cs’ may result in forfeiture of ‘Free Cash’ and/or suspension or termination of a Customer’s account at the discretion of bigbasket.
